We are a small community club run by volunteers. Without the income the big clubs get from poker machines, we rely on our membership fees to help fund our everyday expenses. All donations are used for upgrading our facilities and not for operating expenses.

All non-members are required to sign in at the door, so if you are a regular visitor, it is worth joining to avoid having to do this, and it only costs $25 a year. Members receive a monthly newsletter to highlight upcoming events.

Invitation to Attend the 55th Annual General Meeting
It is time again to hold the Club’s Annual General Meeting (AGM) as required by the Club’s Constitution and the Corporations Act, 2001. This year’s AGM will be held at the Club’s premises on Saturday, 22 November 2025 at 11 am.
There are a few special items to note:-

-
We advise that Philip Richardson was appointed a Director of the Club on 19 January 2023 bringing with him a wealth of experience and contacts as he is a director of another registered club. However, the constitution of that other registered club precludes a director of that club also being a director of another registered club. Although the other club initially granted special permission for Philip to accept directorship of Hardys Bay Club Limited, this has now been revoked requiring Philip to tender his resignation effective, 23 September 2025. Due to time constraints prior to the AGM, the Directors have decided to carry-over this casual vacancy and will consider a new directorship appointment at a later date. We thank Philip for his contribution to the Board and look forward to Philip’s continued involvement with the Club going forward.
-
At last year’s AGM all 5 Directors resigned, and being eligible, were re-elected as Directors for a term of 2 years. Accordingly, at the upcoming AGM, there will be no motions for the re-election of Directors, but all Directors will be up for re-election at the 2026 AGM.
-
At the last AGM the Chair advised that Stuart Hutcheon, a Partner of StewartBrown, Chartered Accountants, had undertaken the Audit Review of the Club’s annual Financial Statements since 2018 and that in accordance with that firm’s policy of rotating Audit Review Partners, it was proposed that Stuart resign and StewartBrown be appointed to undertake the Audit Review, with David Gallery as signing Partner. It was too late to incorporate the necessary resolutions to reflect the change in Auditor in last year’s Notice of Annual General Meeting but will now be considered at this year’s AGM.
Other than as noted above there are no Special Agenda items this year, but the Directors encourage you to attend the AGM, not only because we need at least 20 members present in person to form a quorum, but to hear how your Directors are dealing with the financial and operational challenges of running a small Community Club heavily reliant on Volunteers.

A copy of the 2025 financial report is available from the Club Manager, by email request to admin@hardysbayclub.com.au and on the day of the AGM.

Members are reminded that under the Constitution only “Financial Members” as at the date of issue of the Notice of the AGM (being 24 October 2025) are eligible to vote at the AGM.
Looking forward to seeing you at the AGM.
